Welcome to Drop4. Drop4 is legally operated by SPINA, Inc. ("SPINA," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Drop4's website, applications, games, services, wallets, payment systems, and real-money skill competition platform (collectively, the "Platform").

By creating an account, accessing the Platform, depositing funds, participating in a match, or otherwise using Drop4, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. About Drop4

Drop4 is a real-money skill competition platform legally operated by SPINA, Inc.

SPINA operates Drop4 as a technology platform that facilitates head-to-head skill-based competitions between users.

SPINA is not a casino, sportsbook, bookmaker, gambling operator, financial institution, money transmitter, bank, or participant in matches. SPINA does not compete against users, place wagers against users, determine match outcomes, or otherwise participate in gameplay.

Match outcomes are determined by the actions and skill of participating users.

SPINA reserves the right to modify, suspend, discontinue, replace, remove, or restrict any game, feature, service, promotion, state availability, payment method, or portion of the Platform at any time without liability.

SPINA may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets.

2. U.S.-Only Service

Drop4 is intended solely for users physically located within eligible jurisdictions of the United States.

The Platform is not directed toward residents of foreign countries and is not intended for use outside the United States.

Users are solely responsible for ensuring their use of Drop4 complies with all applicable laws.

Accessing Drop4 from a prohibited jurisdiction may result in account suspension, termination, forfeiture of balances, reversal of winnings, and denial of withdrawals.

3. Eligibility

To create or maintain an account you must:

  • Be at least 18 years old
  • Be physically located in an eligible jurisdiction when participating in paid play
  • Possess legal capacity to enter into binding agreements
  • Maintain a valid personal account
  • Provide accurate information
  • Not be prohibited from using the Platform

You may not create an account if:

  • You have previously been suspended or banned
  • You are acting on behalf of another person
  • You are using false information
  • You are attempting to circumvent geographic restrictions
  • You are subject to sanctions, trade restrictions, or government prohibitions

SPINA may request documentation proving eligibility at any time.

4. Eligible States

SPINA may determine eligible states and jurisdictions at its sole discretion.

Eligibility may change at any time due to legal, regulatory, operational, or business considerations.

SPINA may suspend access to users located in restricted jurisdictions without notice.

Users are responsible for ensuring they are located in an eligible jurisdiction before participating in paid play.

5. Account Registration

You must provide complete, accurate, and current information.

You are responsible for maintaining account security.

You are responsible for all activity occurring through your account.

You agree to immediately notify SPINA of:

  • Unauthorized account access
  • Security incidents
  • Suspected fraud
  • Account compromise

SPINA may rely upon instructions received from your account unless prohibited by law.

6. Identity Verification (KYC)

SPINA may require identity verification before allowing account access, deposits, withdrawals, gameplay participation, prize redemption, account modifications, or other Platform activities.

Verification may include collection of:

  • Government-issued identification
  • Passport
  • Driver's license
  • State identification card
  • Date of birth
  • Selfie verification
  • Live facial verification
  • A photograph of you holding your identification document
  • Proof of address
  • Proof of payment method ownership
  • Tax documentation
  • Additional supporting documents

SPINA may use third-party identity verification providers.

Failure to complete requested verification may result in:

  • Account suspension
  • Withdrawal restrictions
  • Deposit restrictions
  • Match restrictions
  • Account termination

SPINA may repeat verification procedures at any time.

7. Location Verification

SPINA may require users to submit:

  • GPS location data
  • Device location information
  • Network information
  • IP address information
  • Device fingerprinting information

Location verification may be performed continuously or periodically.

Use of VPNs, proxy services, remote desktops, emulators, spoofing software, or location-masking technologies is strictly prohibited.

SPINA may suspend accounts and reverse winnings associated with location circumvention.

8. Biometric Verification

Certain identity verification procedures may require biometric information, including facial geometry derived from selfies, photographs, video verification, or identity verification processes.

By participating in identity verification procedures, you acknowledge and consent to SPINA's collection, use, processing, retention, and deletion of biometric information as described in our Privacy Policy and applicable biometric notices.

Biometric information is used solely for identity verification, fraud prevention, security, and legal compliance purposes.

9. Gameplay and Skill Competitions

SPINA offers skill-based competitions between users.

Match outcomes are determined primarily by player skill.

Users acknowledge that factors including device performance, internet connectivity, latency, hardware limitations, software limitations, and user error may affect gameplay.

SPINA may void matches, reverse results, refund entry fees, or otherwise modify outcomes when technical issues, fraud investigations, cheating reviews, compliance concerns, or operational errors materially affect gameplay integrity.

SPINA's determination regarding gameplay disputes shall be final except where prohibited by law.

10. Entry Fees and Prize Pools

Entry fees, platform fees, and prize amounts will be displayed before a match begins.

By entering a match, you authorize SPINA to deduct the applicable entry fee.

Platform fees are earned upon commencement of a valid match unless otherwise required by law.

Prize pools are distributed according to applicable game rules.

SPINA may withhold, delay, adjust, reverse, or cancel prizes during investigations involving fraud, cheating, compliance reviews, payment disputes, technical errors, or violations of these Terms.

11. No Guarantee of Winnings

SPINA makes no representation or guarantee regarding:

  • Future winnings
  • Profitability
  • Earnings
  • Match outcomes
  • Success rates

Participation in paid competitions involves risk.

Users may lose entry fees and other amounts associated with participation.

12. Promotional Credits and Bonuses

SPINA may offer promotional credits, referral bonuses, rewards, incentives, or other promotional benefits.

Unless otherwise stated:

  • Promotional credits have no cash value
  • Promotional credits are non-transferable
  • Promotional credits are not redeemable for cash
  • Promotional credits may expire
  • Promotional credits may be modified or revoked

SPINA may withhold, reverse, or cancel promotional credits if fraud, abuse, chargebacks, manipulation, or violations of these Terms are suspected.

13. Platform Monitoring

To protect users and maintain Platform integrity, SPINA may monitor:

  • Gameplay activity
  • Device information
  • Account activity
  • Communications with support
  • Payment activity
  • Match history
  • Fraud indicators
  • Security events

Users have no expectation that Platform activity will remain unreviewed where monitoring is necessary for security, compliance, fraud prevention, or operational purposes.

14. Deposits and Wallet Funds

Users may fund their SPINA account through approved payment methods.

By initiating a deposit, you represent and warrant that:

  • You are the authorized owner of the payment method used.
  • The payment method is valid and lawfully obtained.
  • Funds used for deposits belong to you.
  • The transaction does not violate any law or regulation.

SPINA may establish minimum deposit amounts, maximum deposit amounts, transaction limits, velocity limits, and other restrictions at its sole discretion.

All deposits are final once credited to your account except where otherwise required by law.

SPINA reserves the right to reject, reverse, delay, limit, or cancel deposits for security, compliance, fraud prevention, operational, legal, or business reasons.

15. Account Balances

Account balances may include:

  • Cash Balance | Funds deposited by users and eligible winnings.
  • Promotional Balance | Bonuses, rewards, referral credits, and promotional funds.

Promotional balances:

  • Are not cash
  • Have no cash value unless explicitly stated
  • Cannot be sold or transferred
  • May expire
  • May be revoked

SPINA may correct accounting errors, system errors, pricing errors, duplicate credits, or other mistakes at any time.

16. Withdrawals

Users may request withdrawals subject to applicable requirements.

Prior to processing withdrawals, SPINA may require:

  • Identity verification
  • Location verification
  • Selfie verification
  • A photograph holding government-issued identification
  • Proof of address
  • Proof of payment method ownership
  • Tax documentation
  • Additional compliance documentation

SPINA may delay, reject, reverse, suspend, limit, cancel, or hold withdrawals for reasons including:

  • Identity verification reviews
  • Fraud investigations
  • Chargeback investigations
  • Compliance reviews
  • Security concerns
  • Technical issues
  • Payment processor reviews
  • Regulatory requirements
  • Violations of these Terms

Users are solely responsible for ensuring withdrawal information is accurate.

SPINA is not responsible for losses caused by incorrect withdrawal information submitted by users.

17. Chargebacks and Payment Disputes

You agree not to initiate chargebacks, ACH reversals, payment disputes, unauthorized transaction claims, or similar payment reversals for transactions that were validly authorized through your account.

If a chargeback, reversal, ACH return, dispute, unauthorized transaction claim, or payment recovery occurs, SPINA may immediately:

  • Suspend your account
  • Freeze account access
  • Freeze wallet balances
  • Freeze winnings
  • Freeze withdrawals
  • Reverse winnings
  • Reverse deposits
  • Restrict gameplay
  • Terminate your account

You remain responsible for:

  • Disputed amounts
  • Processor fees
  • Chargeback fees
  • Collection costs
  • Administrative costs
  • Legal expenses reasonably incurred in recovery efforts

SPINA may recover amounts owed through:

  • Wallet balance deductions
  • Future deposits
  • Future winnings
  • Payment methods on file
  • Collection agencies
  • Legal proceedings

Fraudulent chargebacks may result in permanent account termination.

SPINA reserves the right to report fraudulent payment activity to:

  • Payment processors
  • Banks
  • Financial institutions
  • Fraud prevention databases
  • Law enforcement agencies
  • Government authorities

18. Anti-Money Laundering and Compliance

SPINA may conduct compliance reviews, anti-money laundering reviews, fraud reviews, sanctions screening, and risk assessments at any time.

Users agree to provide information reasonably requested by SPINA for compliance purposes.

SPINA may:

  • Request additional documentation
  • Delay transactions
  • Freeze funds
  • Suspend accounts
  • Restrict gameplay
  • Refuse service
  • Report suspicious activity

SPINA reserves the right to comply with requests from regulators, law enforcement agencies, courts, and government authorities.

19. Sanctions Compliance

You represent and warrant that:

  • You are not subject to sanctions.
  • You are not located in a sanctioned jurisdiction.
  • You are not acting on behalf of a sanctioned person or entity.
  • You are not listed on any applicable sanctions list.

SPINA may suspend, terminate, or restrict accounts associated with sanctions concerns.

20. Taxes

Users are solely responsible for determining, reporting, and paying taxes arising from participation on SPINA.

SPINA may require:

  • W-9 forms
  • Taxpayer identification information
  • Other tax documentation

SPINA may issue:

  • Form 1099
  • Other required tax reporting documents

Failure to provide requested tax information may result in withdrawal restrictions, withholding, account limitations, or account suspension.

21. Fair Play

SPINA is committed to maintaining fair competition.

Users may not engage in:

  • Cheating
  • Manipulation
  • Exploitation
  • Fraud
  • Collusion
  • Match fixing
  • Multi-accounting
  • Account sharing
  • Artificial gameplay

SPINA may investigate any activity that appears suspicious.

SPINA's determination regarding fair play shall be final except where prohibited by law.

If SPINA determines that a user has engaged in cheating, fraud, collusion, match fixing, account sharing, multi-accounting, use of bots, scripts, automation tools, prohibited AI tools, exploitation of bugs or glitches, or any other conduct that compromises competitive integrity, SPINA may suspend, restrict, terminate, or permanently ban the user's account. SPINA may also void affected matches, reverse results, withhold or recover winnings, and take any other action reasonably necessary to protect the integrity of the Platform.

22. Prohibited Conduct

Users may not:

  • Use VPNs
  • Use proxies
  • Use location spoofing software
  • Use emulators
  • Use bots
  • Use scripts
  • Use macros
  • Use automation tools
  • Use AI tools to play matches
  • Exploit bugs or glitches
  • Reverse engineer the Platform
  • Interfere with Platform operations
  • Attempt unauthorized access
  • Submit false information
  • Harass other users
  • Threaten other users
  • Engage in illegal activity

Violations may result in immediate enforcement action.

23. Investigations

SPINA may investigate:

  • Gameplay activity
  • Payment activity
  • Device activity
  • Account activity
  • Location activity
  • Security incidents
  • Compliance concerns

Users agree to cooperate with investigations.

Failure to cooperate may result in suspension or termination.

24. Account Suspension and Termination

SPINA may suspend, restrict, freeze, terminate, or otherwise limit accounts at any time for:

  • Fraud prevention
  • Security concerns
  • Compliance requirements
  • Business reasons
  • Operational reasons
  • Legal obligations
  • Risk management purposes
  • Violations of these Terms

SPINA may take action with or without notice.

Nothing in these Terms requires SPINA to continue providing services to any user.

25. Recovery of Improper Winnings

SPINA may reverse, recover, reclaim, offset, withhold, freeze, or forfeit winnings, prizes, bonuses, promotional credits, and account balances reasonably determined to be associated with:

  • Fraud
  • Chargebacks
  • Technical errors
  • Glitches
  • Cheating
  • Collusion
  • Account abuse
  • Multiple accounts
  • Verification failures
  • Violations of these Terms

SPINA may offset recovered amounts against future winnings, deposits, withdrawals, or account balances.

In cases involving cheating, fraud, collusion, account abuse, prohibited software, automation, or other serious violations of these Terms, SPINA may permanently forfeit affected funds and account balances to the fullest extent permitted by applicable law. SPINA's determination regarding the connection between funds and prohibited conduct shall be made in good faith based on available evidence.

26. Dormant Accounts

Accounts with no activity for twelve (12) months may be considered dormant.

SPINA may charge lawful administrative fees where permitted by law and may remit unclaimed funds to governmental authorities pursuant to applicable escheatment laws.

Users are responsible for maintaining current account information.

27. Recording and Streaming

Users acknowledge that gameplay may be recorded, streamed, captured, shared, or publicly displayed.

By participating in matches, users grant SPINA a worldwide, non-exclusive, royalty-free license to use usernames, gameplay footage, match results, and related content for operational, promotional, marketing, educational, and business purposes.

Users waive claims arising from authorized use of such content to the fullest extent permitted by law.

28. Intellectual Property

The Platform, including all software, technology, games, interfaces, trademarks, logos, branding, text, graphics, audiovisual content, designs, code, algorithms, and other content, is owned by SPINA or its licensors and is protected by intellectual property laws.

Except as expressly permitted by SPINA, users may not:

  • Copy
  • Modify
  • Reproduce
  • Distribute
  • Sell
  • License
  • Reverse engineer
  • Decompile
  • Create derivative works from
  • Exploit

any portion of the Platform.

All rights not expressly granted are reserved by SPINA.

29. User Content

Users retain ownership of content they submit to the Platform.

By submitting content, you grant SPINA a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, publish, and otherwise exploit such content in connection with operating, promoting, improving, and protecting the Platform.

To the fullest extent permitted by law, users waive any moral rights or similar rights in submitted content.

30. Electronic Communications and Consent

By creating an account or using the Platform, you consent to receive electronic communications from SPINA.

Communications may include:

  • Agreements
  • Policies
  • Notices
  • Disclosures
  • Statements
  • Account alerts
  • Verification requests
  • Security notifications

Electronic communications satisfy any legal requirement that communications be provided in writing.

You agree that electronic signatures, electronic records, electronic disclosures, and electronic agreements shall have the same force and effect as physical signatures and paper documents.

31. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, SPINA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY

SPINA DOES NOT GUARANTEE THAT:

  • THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION
  • THE PLATFORM WILL BE ERROR-FREE
  • THE PLATFORM WILL ALWAYS BE AVAILABLE
  • DEFECTS WILL BE CORRECTED
  • THE PLATFORM WILL BE FREE OF VIRUSES OR HARMFUL COMPONENTS

USE OF THE PLATFORM IS AT YOUR SOLE RISK.

32. Assumption of Risk

Users acknowledge that participation in skill-based competitions involves risk.

You understand and agree that:

  • Entry fees may be lost
  • Matches may be won or lost
  • Technical issues may occur
  • Opponents may possess superior skill

You voluntarily assume all risks associated with participation on the Platform.

33. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPINA, ITS AFFILIATES, SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • SPECIAL DAMAGES
  • EXEMPLARY DAMAGES
  • PUNITIVE DAMAGES
  • LOST PROFITS
  • LOST REVENUE
  • LOST DATA
  • LOST OPPORTUNITIES
  • LOST WINNINGS

REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPINA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100), OR

(B) THE TOTAL AMOUNT OF PLATFORM FEES PAID BY YOU TO SPINA DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

CERTAIN JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

34. Indemnification

You agree to defend, indemnify, and hold harmless SPINA, its affiliates, shareholders, officers, directors, employees, contractors, service providers, and agents from and against any claims, demands, actions, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of applicable law
  • Fraudulent conduct
  • Payment disputes
  • Chargebacks
  • User content
  • Violations of intellectual property rights
  • Disputes with other users
  • Misrepresentations made by you

This obligation survives termination of your account.

35. Force Majeure

SPINA shall not be liable for delays, interruptions, failures, losses, or inability to perform resulting from events beyond its reasonable control, including:

  • Internet outages
  • Cloud service failures
  • Cyberattacks
  • Distributed denial-of-service attacks
  • Utility failures
  • Labor disputes
  • Government actions
  • Regulatory changes
  • Natural disasters
  • Public health emergencies
  • War
  • Terrorism
  • Civil unrest

SPINA may suspend or modify services during such events without liability.

36. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY.

EXCEPT AS OTHERWISE PROVIDED HEREIN, YOU AND SPINA AGREE THAT ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, YOUR ACCOUNT, OR ANY SERVICES PROVIDED BY SPINA SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

The arbitrator shall have exclusive authority to resolve disputes relating to:

  • Interpretation of these Terms
  • Enforceability of these Terms
  • Scope of this arbitration agreement
  • Arbitrability of claims

The arbitrator, and not any court, shall decide such issues.

Arbitration shall occur in Atlanta, Georgia unless otherwise required by law.

Each party shall bear its own attorneys' fees unless otherwise awarded by the arbitrator or required by law.

37. Arbitration Opt-Out

You may opt out of arbitration by sending written notice to hi@spina.app within thirty (30) days of first accepting these Terms.

Your notice must include:

  • Full legal name
  • Account email address
  • Statement clearly requesting arbitration opt-out

Failure to opt out within thirty (30) days constitutes acceptance of the arbitration agreement.

38. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO:

  • PARTICIPATE IN A CLASS ACTION
  • PARTICIPATE IN A COLLECTIVE ACTION
  • PARTICIPATE IN A REPRESENTATIVE ACTION
  • ACT AS A PRIVATE ATTORNEY GENERAL
  • SEEK RELIEF ON BEHALF OF OTHERS

CLAIMS MUST BE BROUGHT INDIVIDUALLY.

39. Small Claims Exception

Nothing in these Terms prevents either party from bringing an eligible claim in small claims court where permitted by applicable law.

40. Governing Law

These Terms and all disputes arising out of or relating to the Platform shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

41. Exclusive Judicial Venue

To the extent a dispute is permitted to proceed in court, the parties agree that exclusive jurisdiction and venue shall lie in the state and federal courts located in Fulton County, Georgia.

The parties consent to personal jurisdiction in those courts.

42. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.

43. Waiver

Failure by SPINA to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of SPINA.

44. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and SPINA concerning the Platform.

They supersede all prior agreements, communications, and understandings relating to the subject matter herein.

45. Survival

The following provisions survive termination of these Terms and closure of your account:

  • Payment obligations
  • Chargeback obligations
  • Compliance obligations
  • Intellectual property provisions
  • User licenses
  • Limitation of liability
  • Indemnification
  • Arbitration provisions
  • Class action waiver
  • Governing law
  • Dispute resolution provisions
  • Any provisions that by their nature should survive termination
